Terms of Service (User Agreement)

Please read these Terms of Service ("Terms") carefully before using the OneKeyModel platform. By registering an account or using our services, you agree to be bound by these Terms.

2. About OneKeyModel

OneKeyModel is an AI API gateway platform that aggregates access to 40+ upstream AI model providers (including OpenAI, Anthropic Claude, Google Gemini, Azure, AWS Bedrock, and others) behind a unified API interface. The platform provides user account management, API key management, billing, rate limiting, usage logging, and an administrative dashboard.

3. Eligibility

By using our platform, you represent and warrant that:

  • You are at least 18 years of age.
  • You have the legal capacity to enter into a binding agreement.
  • You are not prohibited from using the services under applicable laws.
  • If you are using the platform on behalf of an organization, you have the authority to bind that organization to these Terms.

4. Account Registration

4.1 Account Creation

To use the platform, you must register an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials and API keys (tokens).
  • All activities that occur under your account.
  • Notifying us immediately at service@onekeymodel.com if you suspect unauthorized access to your account.

4.3 One Account Per User

You may not create multiple accounts to circumvent usage limits, billing, or any platform restrictions.

5. API Keys and Tokens

  • You may create API tokens under your account to access the relay API.
  • Each token may have configurable expiry dates, usage limits, IP restrictions, and model access controls.
  • You are solely responsible for the security and use of any token issued under your account.
  • Tokens must not be shared publicly or embedded in client-side code accessible to end users without appropriate access controls.

6. Use of the Platform

6.1 Permitted Use

You may use OneKeyModel to:

  • Make AI model API calls through the relay to upstream providers.
  • Manage your API keys, monitor usage, and review billing.
  • Integrate the API into your own applications and services in compliance with these Terms.

6.2 Prohibited Use

You must not use the platform to:

  • Violate any applicable laws or regulations.
  • Generate, distribute, or facilitate the creation of content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
  • Engage in any form of fraud, phishing, or deception.
  • Reverse-engineer, decompile, or attempt to extract the source code of the platform.
  • Conduct denial-of-service attacks or any activity that disrupts or degrades the platform's performance.
  • Bypass or circumvent rate limits, quotas, or billing systems.
  • Resell or redistribute access to the API without explicit written permission.
  • Use the platform in any manner that violates the terms of service of any upstream AI provider.
  • Generate child sexual abuse material (CSAM) or any content that sexually exploits minors.
  • Use the platform to develop or deploy autonomous systems that could cause physical harm to individuals.

7. Upstream AI Providers

OneKeyModel routes your requests to third-party AI providers. Your use of these providers through our platform is also subject to their respective terms of service. We are not responsible for the outputs, accuracy, availability, or data practices of upstream providers. Key providers include (but are not limited to):

  • OpenAI (openai.com)
  • Anthropic (anthropic.com)
  • Google Gemini (deepmind.google)
  • Microsoft Azure
  • Amazon AWS Bedrock

8. Billing and Payment

8.1 Wallet and Credits

The platform uses a pre-paid wallet/credit system. You must top up your wallet balance to consume API services. Consumption is deducted based on token usage and configured pricing ratios.

8.2 Subscriptions

The platform may offer subscription plans with specific quotas and benefits. Subscription terms, pricing, and renewal conditions will be displayed at the time of purchase.

8.3 No Refunds

All purchases of credits and subscriptions are final and non-refundable unless otherwise required by applicable law or at our sole discretion in exceptional circumstances.

8.4 Pricing Changes

We reserve the right to change pricing at any time. We will provide reasonable notice of material pricing changes.

8.5 Taxes

You are responsible for any applicable taxes arising from your use of the platform.

9. Intellectual Property

9.1 Platform

All intellectual property rights in the OneKeyModel platform, including software, design, trademarks, and documentation, belong to BLUEPOLE STARLIGHT HONGKONG COMPANY LIMITED or its licensors.

9.2 Your Content

You retain ownership of the prompts, data, and content you submit through the platform. By using the platform, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the service.

9.3 Output

The outputs generated by upstream AI models are subject to the terms of the respective upstream providers. We make no claim of ownership over AI-generated outputs.

10. Privacy

Our collection and use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Service Availability and SLA

We strive to provide a reliable service but do not guarantee uninterrupted or error-free operation. The platform is provided "as is" and "as available." We reserve the right to:

  • Perform scheduled or emergency maintenance.
  • Modify or discontinue features with reasonable notice.
  • Suspend or terminate access for accounts that violate these Terms.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONEKEYMODEL IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

  • THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.
  • THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
  • AI MODEL OUTPUTS WILL BE ACCURATE, RELIABLE, OR APPROPRIATE FOR YOUR USE CASE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLUEPOLE STARLIGHT HONGKONG COMPANY LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM:

  • YOUR USE OF OR INABILITY TO USE THE PLATFORM.
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA.
  • ACTIONS OR OUTPUTS OF UPSTREAM AI PROVIDERS.
  • ANY OTHER MATTER RELATING TO THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless BLUEPOLE STARLIGHT HONGKONG COMPANY LIMITED and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the platform in violation of these Terms.
  • Your violation of any applicable law or third-party rights.
  • Any content you submit or transmit through the platform.

15. Account Suspension and Termination

15.1 By You

You may close your account at any time by contacting us at service@onekeymodel.com. Unused wallet credits are non-refundable unless required by law.

15.2 By Us

We reserve the right to suspend or terminate your account at any time, with or without notice, if:

  • You violate these Terms or our Acceptable Use Policy.
  • We are required to do so by law.
  • We discontinue the platform or a relevant feature.

Upon termination, your access to the platform will cease and your API tokens will be invalidated.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the courts of Hong Kong for resolution.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Posting the updated Terms on our platform with a new effective date.
  • Sending an email notification for significant changes.

Your continued use of the platform after the effective date of revised Terms constitutes your acceptance of the changes.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and BLUEPOLE STARLIGHT HONGKONG COMPANY LIMITED regarding your use of the platform, and supersede all prior agreements or understandings.
